10-FOUR AFFILIATE AGREEMENT

This Affiliate Agreement (“Agreement”) is entered into between you (“Affiliate”, “you”) and 10-Four UK Ltd (Company No. 16987174), registered at 128 City Road, London EC1V 2NX, United Kingdom (“10-Four”, “Company”, “we”, “us”). By applying to or participating in the 10-Four Affiliate Program (the “Program”), you agree to be bound by this Agreement.


1. Purpose of the Program

The Affiliate Program allows approved individuals or entities to promote 10-Four’s services using unique referral links in exchange for commissions, subject to the terms outlined herein. Participation in the Program does not create any partnership, employment, agency, or joint venture relationship.


2. Affiliate Approval

Participation in the Program is subject to approval at the sole discretion of 10-Four. The Company reserves the right to accept or reject any application and to terminate any affiliate relationship at any time.


3. Affiliate Obligations

Affiliates agree to promote 10-Four lawfully and ethically. Affiliates must comply with all applicable advertising, marketing, consumer protection, and data protection laws. Affiliates may not misrepresent 10-Four’s services, guarantee profits, provide financial advice on behalf of the Company, impersonate the Company, use spam or unsolicited communications, engage in self-referrals, or use fraudulent or misleading promotional methods.


4. Commission Structure

Commissions are earned only when a referred customer registers through the Affiliate’s unique tracking link and completes a qualifying purchase that is verified and not subject to refund, fraud, or chargeback. Commission rates, payout terms, and minimum thresholds may be defined separately and may be modified by the Company at its discretion.


5. Fraud and Abuse

No commission shall be paid on fraudulent transactions, self-referrals, stolen payment methods, reversed payments, or accounts created using false identities. The Company reserves the right to withhold, reverse, or recover commissions where fraud or abuse is detected. Violations may result in immediate termination.


6. Tracking and Attribution

Affiliate referrals are tracked through unique links and cookies. The Company does not guarantee uninterrupted tracking functionality. The Company’s internal tracking system shall be the sole authority in determining commission eligibility.


7. Payment Terms

Commissions are payable only after expiration of applicable refund periods and completion of compliance checks. Affiliates are responsible for providing accurate payment information and for any applicable taxes in their jurisdiction.


8. Intellectual Property

The Company grants Affiliates a limited, non-exclusive, revocable license to use approved marketing materials solely for participation in the Program. All intellectual property remains the exclusive property of 10-Four UK Ltd. Affiliates may not modify, reproduce, or create derivative branding without written authorization.


9. Term and Termination

This Agreement remains in effect until terminated by either party. The Company may terminate this Agreement at any time for breach, fraud, regulatory concerns, or reputational risk. Upon termination, the Affiliate must immediately cease use of all Company branding and referral links.


10. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for indirect or consequential damages, loss of income, technical tracking issues, or business interruption. The Company’s total liability shall not exceed commissions earned in the preceding thirty (30) days.


11. Independent Contractor Status

Affiliates act as independent contractors. Nothing in this Agreement creates an employment, agency, or partnership relationship.


12. Amendments

The Company may modify this Agreement at any time. Continued participation in the Program constitutes acceptance of the revised terms.


13. Governing Law

This Agreement is governed by the laws of England and Wales.
